1. Parties & Agreement
These terms govern the relationship between you ("Subscriber") and Tarf Al-Huloul Ltd ("the Company"), CR 1009133205, VAT 312650760200003, the provider of the EzSoft platform. By subscribing to or using the platform, you fully agree to these terms.
2. Service Description
EzSoft is an integrated business management system covering POS, inventory, accounting, e-invoicing, and branch management, delivered as a cloud or on-premise service as agreed. The service includes installation, training, and technical support per the selected plan.
3. Subscription & Payment
•Subscription fees are calculated per the selected plan and paid in advance.
•Listed prices exclude VAT (15%).
•Subscription fees are non-refundable after service activation except in exceptional cases at the Company's discretion.
•The Company reserves the right to adjust pricing with at least 30 days' prior notice.
4. Platform Use
The Subscriber agrees to:
•Use the platform for lawful business purposes only.
•Not attempt to breach or disrupt platform systems.
•Not share login credentials with unauthorised parties.
•Enter accurate and correct data to ensure tax and regulatory compliance.
5. E-Invoicing & ZATCA Compliance
The platform supports e-invoicing requirements per Saudi ZATCA regulations. The Subscriber is solely responsible for the accuracy of data entered and for meeting their own tax obligations. E-invoicing support does not constitute tax advice.
6. Data Ownership
Business data entered into the platform is the exclusive property of the Subscriber. The Company commits to not using it for commercial purposes outside of service operation. Upon subscription termination, the Subscriber may request a copy of their data within 30 days.
7. Limitation of Liability
The platform is provided "as is." The Company is not liable for:
•Business losses resulting from technical failures or service interruptions outside its control.
•Data errors resulting from incorrect input by the Subscriber.
•Business decisions made based on platform reports.
8. Subscription Termination
The Subscriber may terminate the subscription with written notice before the renewal date. The Company may suspend service immediately in case of breach of these terms or non-payment after notice.
9. Governing Law
These terms are governed by the laws of the Kingdom of Saudi Arabia, and the courts of Riyadh have jurisdiction over any dispute arising from them.
